Terms of Operation

The governing agreement between Teacher's Pet, LLC and its users for access to and use of the PUPIL IEP™ platform and all associated services.

1. Acceptance of Terms

These Terms of Operation ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Teacher's Pet, LLC("Company," "we," "us," "our"), a limited liability company organized under the laws of the State of Delaware, governing your access to and use of the PUPIL IEP™ platform, including all web applications, API endpoints, stakeholder review portals, document generation services, and related functionality (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you represent and warrant that you have the legal authority to enter into these Terms. If you are accepting these Terms on behalf of a school, district, or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility and Authorization

The Platform is designed exclusively for use by:

  • Authorized Educators: Licensed or credentialed special education teachers, case managers, related service providers, general education teachers, school administrators, and district administrators who have been designated by their employing LEA to use the Platform.
  • Invited Stakeholders: Parents, guardians, and external service providers who have received a valid Stakeholder Review Token from an Authorized Educator for the purpose of reviewing and approving specific documents.

The Platform is not intended for use by students or minors. Users must be at least eighteen (18) years of age, or the age of majority in their jurisdiction, to create an account.

3. Account Registration and Security

3.1 Registration

To access the Platform, you must register for an account by providing accurate, current, and complete information. You agree to update your registration information to maintain its accuracy throughout the term of your use.

3.2 Credential Security

You are solely responsible for maintaining the confidentiality of your account credentials. You must not share your password, session tokens, or login credentials with any other person. You agree to notify us immediately at security@teacherspet.app of any unauthorized use of your account or any other breach of security.

3.3 Account Provisioning

District administrators may provision accounts for educators within their organization. Provisioned users are subject to these Terms and must complete account setup using the secure, time-limited authentication token provided during onboarding.

4. License Grant and Restrictions

4.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose: the generation, management, review, and finalization of individualized education program (IEP) documents, present levels of academic achievement and functional performance (PLAAFP) reports, and related compliance documentation.

4.2 Restrictions

You shall not, and shall not permit any third party to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
  • Copy, modify, distribute, sell, sublicense, or create derivative works based on the Platform
  • Use the Platform to develop a competing product or service
  • Circumvent, disable, or interfere with any security, access control, or usage-limiting features of the Platform
  • Use automated scripts, bots, or scrapers to access the Platform or extract data
  • Access the Platform through any interface other than those provided by the Company
  • Use the Platform in any manner that violates FERPA, COPPA, IDEA, ADA, Section 504, or any other applicable federal, state, or local law

5. Acceptable Use Policy

You agree to use the Platform only for its intended educational and compliance purposes. You shall not:

  • Enter fabricated, falsified, or intentionally misleading student data into the Platform
  • Use the Platform to generate documents for students who are not part of your assigned caseload or administrative scope
  • Share access credentials, review tokens, or generated documents with unauthorized persons
  • Attempt to access student records belonging to districts, schools, or caseloads outside your authorized scope
  • Use the Platform to store, transmit, or process data that is not related to its intended educational purpose
  • Upload or transmit any malicious code, virus, or harmful component
  • Engage in any activity that disrupts, degrades, or impairs the performance of the Platform for other users

6. AI-Generated Content and Educator Responsibility

6.1 Nature of AI-Generated Content

The Platform uses artificial intelligence to generate draft narrative content for IEP and PLAAFP documents based on structured inputs provided by Authorized Educators. AI-generated content is a professional drafting aid, not a substitute for professional educational judgment.

6.2 Educator Review Obligation

You acknowledge and agree that you bear sole professional and legal responsibility for reviewing, verifying, editing, and approving all AI-generated content before it is incorporated into any official compliance document, shared with stakeholders, or submitted to any regulatory body. The Platform's workflow enforces a mandatory review step, but the substantive accuracy, appropriateness, and legal sufficiency of all content remains your professional responsibility.

6.3 No Professional Advice

AI-generated content does not constitute legal advice, medical advice, psychological assessment, or professional educational recommendation. The Platform does not make placement decisions, eligibility determinations, or service recommendations—it generates narrative text based on educator-provided inputs for the educator's professional consideration.

6.4 Content Ownership

You retain ownership of all data you enter into the Platform and all documents generated from that data. The Company claims no ownership interest in your student data, generated documents, or edited content. See Section 8 for further intellectual property terms.

7. Stakeholder Review Protocol

The Platform facilitates structured stakeholder review workflows. By using the stakeholder review features, you agree to the following terms:

  • You will only invite stakeholders who have a legitimate educational interest in the student's Education Records (e.g., parents/guardians, members of the IEP team, related service providers).
  • You are responsible for ensuring that invitations comply with your LEA's policies regarding the disclosure of Education Records.
  • Review deadlines, when set, will be enforced automatically. Stakeholders who do not respond by the deadline will have their review status marked as "Auto-Approved" and will be notified via email.
  • You may recall a document from review at any time prior to finalization, which will invalidate all outstanding review tokens for that document.

8. Intellectual Property

8.1 Company Intellectual Property

The Platform, including its software, algorithms, user interface design, LaTeX template architecture, AI prompt engineering, documentation, and all associated intellectual property, is and shall remain the exclusive property of Teacher's Pet, LLC. These Terms do not convey any ownership interest in the Platform to you.

8.2 User Content

You retain all right, title, and interest in and to the data you enter into the Platform and the documents generated therefrom. By using the Platform, you grant the Company a limited, non-exclusive license to process your data solely for the purpose of providing the Platform's services to you. This license terminates upon the deletion of your data from the Platform.

8.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform ("Feedback"), you grant the Company an irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Platform without obligation to you.

9. Subscription and Payment Terms

9.1 Pricing

Access to the Platform is offered via district-level subscription plans. Pricing, feature availability, and AI generation quotas (measured in tokens) are determined by the selected plan tier. Current pricing is available upon request and is subject to change with thirty (30) days' written notice.

9.2 Trial Access

New districts may be granted a limited trial period with restricted token allocations. Trial access is governed by these same Terms. Upon trial expiration, continued use requires execution of a paid subscription agreement.

9.3 Overages

If a district exceeds its allocated token quota, additional generation requests may be throttled or suspended until the quota is replenished via plan upgrade or the next billing cycle.

10. Service Availability and SLA

We target 99.9% uptime for the Platform during each calendar month, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least seventy-two (72) hours in advance via email to registered administrators.

The Company is not liable for service interruptions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet infrastructure failures, third-party service outages, government actions, or distributed denial-of-service attacks.

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11.2 AI Content Disclaimer

THE COMPANY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, LEGAL SUFFICIENCY, OR APPROPRIATENESS OF ANY AI-GENERATED CONTENT. AI-GENERATED OUTPUT IS A DRAFTING AID AND IS NOT A SUBSTITUTE FOR PROFESSIONAL EDUCATIONAL JUDGMENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND APPROVING ALL CONTENT BEFORE USE.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

12. Indemnification

You agree to indemnify, defend, and hold harmless Teacher's Pet, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Platform in violation of these Terms
  • Your violation of any applicable law, rule, or regulation, including FERPA, IDEA, and COPPA
  • The accuracy, completeness, or legal sufficiency of data you enter into the Platform or documents you finalize and distribute
  • Any claim by a third party (including parents, students, or regulatory bodies) arising from your use of AI-generated content without adequate professional review
  • Your unauthorized sharing of access credentials, review tokens, or student data

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at support@teacherspet.app. Upon termination, your data will be retained for ninety (90) days to facilitate export, after which it will be permanently deleted in accordance with our Privacy Vector.

13.2 Termination by Us

We may suspend or terminate your access to the Platform immediately, without prior notice, if we reasonably believe that you have materially violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to the security or integrity of the Platform or its users' data.

13.3 Effect of Termination

Upon termination, your license to use the Platform ceases immediately. Sections 6.2 (Educator Review Obligation), 8 (Intellectual Property), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) shall survive termination.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. To the extent that federal law applies (including FERPA and COPPA), federal law shall govern.

14.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware by a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Miscellaneous Provisions

  • Entire Agreement: These Terms, together with our Privacy Vector and any executed DPA, constitute the entire agreement between you and the Company regarding the Platform.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign these Terms or your rights hereunder without the Company's prior written consent. The Company may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party shall be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, pandemic, war, terrorism, or governmental action.
  • Notices: Legal notices to the Company must be sent via email to legal@teacherspet.app and will be deemed received upon confirmed delivery.
